T-Mobile Releases Internal Email Regarding AT&T Deal

I’m still in shock over this so I’m just going to post this and let you, like me take it all in! This is an internal email from current T-Mobile CEO Philip Humm regarding the just announced acquisition of T-Mobile USA by AT&T. Commence crying.

Bonn/ Dallas, March 20th 2011

Deutsche Telekom: US Deal accelerates own transformation

? Deutsche Telekom to receive 39 billion USD for US-business ? Deutsche Telekom to have up to 8 percent stake in the leading US

telecommunications company

? AT&T takes over US mobile business from Deutsche Telekom

? Deutsche Telekom will receive 25 billion USD in cash and 14 billion USD in AT&T shares

? Attractive multiple of 7.1 times 2010 adjusted EBITDA ? Deutsche Telekom plans to use approximately 5 billion EUR for share

buybacks

? Deutsche Telekom net debt is planned to be reduced by approximately 13 billion EUR or 31 percent

Deutsche Telekom will take an approximately 8 percent stake in US telecommunication company AT&T. At the same time Deutsche Telekom will hand over 100 percent ownership of T-Mobile USA to AT&T. This has been agreed by the boards of the two companies today. AT&T will pay 25 billion USD in cash for T- Mobile USA, in addition to 14 billion USD in AT&T shares. AT&T has the right to increase the portion of the purchase price paid in cash by up to 4.2 billion USD with a corresponding reduction in the stock component. The value of the transaction will be 39 billion USD. This will amount to an attractive multiple of approximately 7 times 2010 adjusted EBITDA. The merger still needs US regulatory approval. The closing of the transaction is expected to be completed in first half of 2012.

Following our initiatives of finding a solution for our activities both in the United Kingdom and Poland, we have with this transaction nearly accomplished the “fix” part of our strategy. We will now focus our resources more on the “transform” and “innovate” blocks of our strategy in order to accelerate the transformation of Deutsche Telekom.”

Timotheus Höttges, CFO Deutsche Telekom: “As the biggest single share holder of AT&T we will also significantly benefit from their strong dividend. With the excellent result of this transaction we will be able to continue to develop our company. At the same time we will be able to reduce our debts and initiate one of the biggest share buy back programs in both Germany as well as in the European telecommunication industry.”

Deutsche Telekom is planning to reduce its debt by approximately 13 billion EUR. Approximately 5 billion EUR are planned to be used for share buybacks after closing and required resolutions in accordance with the legal requirements .

Randall Stephenson, CEO and Chairman AT&T: “This transaction delivers significant customer, shareowner and public benefits that are available at this level only from the combination of these two companies with complementary network technologies, spectrum positions and operations. We are confident in our ability to execute a seamless integration, and with additional spectrum and network capabilities, we can better meet our customers’ current demands, build for the future and help achieve the President’s goals for a high-speed wirelessly connected America.”

For Deutsche Telekom the transaction after closure will provide amongst others a consolidation of the balance sheet. Pro forma the ratio for net debt to adjusted EBITDA in 2010 will be reduced to 1.9x from 2.2x, a reduction of 31 percent.

There will be no change regarding the shareholder remuneration policy which has been set for three years. As has been provided within the legal guidelines, Deutsche Telekom will continue with its plans to pay out 3.4 billion EUR on an annual basis consisting of a minimum dividend of 70 cents plus share-buybacks. The share buybacks amounting to approximately 5 billion EUR, which are planned after the closure of the transaction, will come on top of this.

The Guidance for 2011 remains unchanged. For the financial year 2011 Deutsche Telekom expects an adjusted EBITDA of around 19.1 billion EUR. The free cash flow is expected to be stable to slightly growing from the 2010 level of 6.5 billion EUR.

Deutsche Telekom is to receive one seat on AT&T’s Board of Directors.

Morgan Stanley acted as lead financial advisor and issued a fairness opinion to the supervisory board of Deutsche Telekom. Deutsche Bank and Credit Suisse acted as financial advisors for Deutsche Telekom.

Deutsche Telekom was advised by Wachtell, Lipton, Rosen & Katz (M & A, N.Y.C) as well as Cleary Gottlieb and Wiley Rein (antitrust and regulatory law, Washington D.C.).

    As a tech center employee I’m worried we are all getting laid off. It would make sense to keep tmobile’s customer service since at&t’s is garbage but logic is not a strong suite of most companies. This sucks so bad..

      I feel bad for you but that is exactly how I would feel if I was a T-Mobile employee. It would be a good idea to look for another job now rather than when you get a pink slip.

      It would make sense to keep T-Mobile’s customer service but they would also want to reduces expenses by having less people and less stores to cut costs. Either way, a big buyout like this does come with reduction in workforce.

      I work for tmobile customer care its my day off and I just found out about all this, I dont think that at&t employees are just going to be trained so that everyone is on the same page I hope this helps Look for the positive of things!!

    I think this is a great thing! I have had so many problems with T-Mobile lately that I am glad I will be leaving there death grip. I still may go to Verizon. My wife’s My Touch Does not work anymore and my HD2 is a piece of work. When I call customer service they do not help at all. My insurance plan stinks so it does not cover my wife’s phone. They were great from 2003 to 2009 but then after that they went down hill. Terrible customer service for loyal customers. Good bye and good Riddance and Good Bye T-Mobile.

      do you know that there are things that you HAVE to do to your phone, they are no longer the simple devices we were used to things change you have to stop running apps and turn your phone off and on on a regular… maybe there wasnt anything that T-Mobile was or was not doing maybe it was user error!!

      Didnt realize that there are so many dumb people out there . 1st if At&t is smart they will use t-mobiles customer service and not change anything !!!! T-Mo has won 11 of the last 13 JD Power #1 customer service awards ///So if T-Mo Is “Terrible” not many other poeple seem to think that or the other wireless carriers are that much more “terrible” . 2nd most people that have a problem is due to there own actions and are not grown enough to take resposiblity for the issues there having 3rd if you have a HD2 blame microsoft for a shitty os and if your really smart put android on it !!!!!!! its easy it will take 10min and boom you got gingerbread on the HD2 which runs FANtastic.. 4th if anyone purchases a MYTOUCH any model and its under warrenty or you have insurance on it and if you have any malfunctions! not due to your inability to take care of your device T-MO will give you a brand new device right out the box instore so tell me Verizon or any other carrier that offers that on any phone !!!!!!!!

        T-Mobile was a great company lately they have been slacking in my opinion. I find myself to be a smart user of phones. I did have android on my HD2 but I feel it is not secure enough for my everday use, since My HD2 has business emails on it. I understand and Take responsibility for my actions. When I go on vacation The service is always below par. I go up to upper Wisconsin and i have to use Einstein PCS or AT&T so in my eyes this will be great for me b/c then I will not have to roam. Also my HD2 can not connect to their tower and it is right next door to my office, T-Mobile is doing a great job fixing it but I do need my cell phone and it is starting to get old. Yes I have restarted my phone, replaced my sim card, and did other things. I had Verizon before T-Mobile and the only reason I switched was b/c my wife was still in her contract when we got married and I was out of mine. Also I go to Germany every quarter and T-Mobile service is unbelievable over there. I have great respect for T-Mobile but I do feel this is better news than Sprint buying T-Mobile out. Finally, I have an Iphone first generation that works on T-Mobiles Network and I would use that if the apps still worked on it. I guess in the end I am excited b/c I will be able to get my company discount on AT&T plus the Iphone that works :)

    Ok, everyone calm down. The world is not coming to an end. I hate AT&T too, but the fact is all of the friends and family I talk to except one have no issues with them. Deutsch Telekom was clearly looking to get out of T-Mobile USA, so I guess it could have been worse (yes, Sprint being CDMA would have been terrible). AT&T isn’t the best but Verizon is terrible with customer service too (I used to be a customer) and the have CDMA. Everything is ok, the sun will come up tomorrow and the world will go on. Just wait and see 8)
    oh, and JLo get a life and leave David alone. He has done a great job with this blog.

          We will probably be laid off if there is an att store in the proximity. Or they might incorporate ua into their crappy union. Some employees who have been with tmo 5+ years will lose all of our vacation time cuz att max is 2 weeks. Some of us have 6-8weeks. Kiss the free phone every year goodbye. This is turning horrible by the minute. Obly good could be a severance pay and we get laid off. :(

        Employees who directly serve customers are likely safe. The combined company will still need those employees. Some of the network/engineering and IT jobs will be eliminated, but some of those are safe, at least for a while. It’s the admin functions like HR, finance, legal, marketing, etc. that are going to be hit hard. T-Mobile’s corporate office in Bellvue, WA will be hit very hard. I’m sure AT&T will take a “restructuring” charge to cover severance packages for the eliminated T-Mobile employees. When AT&T makes that number public, you’ll get a better idea of just how extensive the layoffs are going to be. It’s also possible the DT negotiated some on this issue, and made AT&T agree to eliminate some duplicative AT&T employees so that the impact to T-Mobile employees will be minimized.

    I’m so happy I’ve been off contract for almost 2 years now.:-) But I feel horrible for Tmo employees :- This is so not cool on so many levels. I felt myself possibly leaving sooner or later, just waiting for metro to get a worthy android device cause I wanted to keep my vibrant but whatever. Tmo was slowly becoming more and more like the other carriers price and policy wise. I may check sprint out as much as I can’t stand them. I wonder what’s going to come of the new devices T-Mobile had on the horizon? They can’t expect ppl to sign new contracts with so much uncertainty now can they?

    I fled AT&T over ten years ago due to their retarded customer service reps and poor customer service in general. My experience on TMO has been excellent.

    But I think it’s too early to bail. I’ll wait and see.

      You are a complete idiot if you think that anything is “changing” yet. there’s a long process ahead before anything like that happens. Customer care reps didn’t get any heads up about this whole thing, they found out about this the same time as everybody else. The reason they gave you a hard time taking your data package off of your data phone is because part of your contract to get the discount on your data phone is to keep that feature.

      Being on the other end of the phone number you call for help with your phone, I can tell you I am truly floored by this. Inside the walls, AT&T has been our arch-nemesis as long as I have been with T-Mobile. When I found out DT dumped us to them, I fought the urge to quit on the spot. I’m still thinking about it. AT&T has a reputation for having some of the worst customer service in the industry, and I’m finding it very hard to chin up and join their ranks.

      I’m sure many of us reps feel this way. It’s like a punch in the gut. Very likely, many reps are having a very bad day having learned (from Tmonews.com first, no less) that we are now going to be under AT&T’s flag.

      It’s hard to smile on the phone to the next caller after that drops.

        As a T-Mobile customer before retailer, I’m cut to the core over this. I agree with the sentiments posted before me — we’ve been dumped by DT. Bad management, bad product offerings, bad advertising kept TMoUSA in 4th place… and here’s what we get for it.

    I knew it would happen, so truthfully I am am not that shocked. I just hope that AT&T keeps T-Mobile’s AWARD WINNING CUSTOMER SERVICE and allows CUSTOMERS WITH GRANDFATHERED PLANS TO KEEP THEM UNTIL WE WANT TO CHANGE OUR PLANS – because if they don’t, we and millions upon millions of other customers will leave AT&T for VERIZON quicker than AT&T can RE-THINK POSSIBLE.       att doesnt grandfather man you should know this they just kill somthing when the feel like it like pple that had unlimtied net on aircards just got there services changed just like that and there wasnt ish you could do i saw this with my own eyes as a att employee man this is bad for tmobile and they should know that. my whole family just called me and told me that there moving to sprint.

    this humm guy just comes in give tmobile a nice spit shine … acts like they’re trying to get at the competition with aggressive commercials ..this deal was set in place since the last CEO “retired”

      What happens to the premium retailers? Some markets can rebrand, but that would place alot of AT&T stores spitting distance from each other here in Columbus, OH. Means someone’s gotta close their doors and someone’s out of a job.

    i feel like crying man this pisses me the @##@ off man i will never have att service. im going to cancel my accounts next week and go to sprint. i dont care about coverage man att sucks so bad so freaking bad man i worked for them they dont care about the customer locking android phones of installin apps not updating any freakinf android devices not one device on android was ever updated man not one. killing unlimited data charging an arm and a leg for service plans. and last but not least that freaking network hog iphone/ipad. you kno how many droped calls ppl have on at&t. this sucks man i dont know why i feel like crying but i hate At&t.

    WOW!! 90 percent of these comments are senseless and ignorant!!!! 1. If you like TMO so much, they have just been bought out by the largest cell phone provider in the world!!! Which means your service just got a lot better!!!! 2. I have been with several different carriers and they all have their fair share of problems…You talk about poor customer service?? Yeah just take your happy ass on over to Verizon and you will really find out what horrible customer service is all about!!! I have been with Cingular/AT&T for the past 8 years and I have had the best customer service u could ever ask for!! They even called me and told me that I had almost 18,000 rollover minutes and I lowered my plan down to the lowest plan they have and have been on that plan since June and still have over 8,000 rollover minutes left before I will need to move my plan back up…I have excellent coverage… Thats just my experience…I hope you all have a pleasant experience wherever you decide to take your cell service!!!

      No, AT&T IS NOT the largest cell phone provider in the world. What they actually are is the BIGGEST, SORRY CELL PHONE PROVIDER IN THE WORLD! Service just got allot better?? Are you kidding?? You must not have read the JD Powers customer service ratings, nor truly EXPERIENCED their network as an actual real customer. TRUST ME, the majority of T-Mobile’s customers will quickly flee to Verizon because if your going to have to pay higher prices and get crappy customer service, you might as well GET BETTER SERVICE!!!! Rollover minutes??? OMFG! Rollover minutes are a gimmick and they EXPIRE. GOOD LUCK WHEN YOU NEED TO CHANGE BACK TO A PLAN WITH MORE MINUTES AND YOU END UP PAYING MORE!!!

      My experience with ATT/Cingular was exactly the opposite. And its that way for a lot of us. It’s no coincidence that a lot of TMO subscribers are people who consider themselves ATT refugees. Looks like they’ve come after us.

      AT&T the largest??? That’s a laugh. Verizon is still the largest and now that they have the iPhone it’s even bigger. AT&T hasn’t even updated there data service yet and their voice service is horrible. I hated AT&T before Cingular took over and when AT&T bought them back I was a customer and all of a sudden my bill comes in and I owe like $400 when I was only paying $85 a month. I still owe AT&T and I refuse to pay them because of it. Rollover minutes is not a good enough reason for me to like AT&T, i text more than I call anyway. Plus, AT&T’s lowest price plan costs as much as T-Mobile’s high end plan when considering all the taxes and extras AT&T charges that make no sense.

      ATT has never won a JD Power Award for customer service, much less 8 years in a row like TMO. Your experience is an anomaly, not the majority.

      Actually, even though AT&T is larger, as a former AT&T customer who lives and works in the city of Chicago, I can guarantee you that their coverage here stinks. In addition, their customer service is horrendous. This is all a large part of why I am now a T-Mobile customer. In addition, as people pointed out already, T-Mobile is cheaper. Hmmm, better service, that costs less and far superior customer service as compared to unreliable coverage, atrocious customer service that costs more. This is not rocket science, stevie.

      AT&T is the largest cell phone provider in the world? China Mobile has 589 million customers which makes the largest cell phone provider in the world. Do your research before you start to spew nonsense. As a former AT&T customer never once experienced good customer service from them. If this deal does go through ( key word being if ) I REFUSE to go back to them. I’ll make the switch to prepaid before I let that insidious company wrap their gnarly fingers get a hold of me again.

      No it did not! look at their prices for their plans, look at their plans all data is capped, hsupa is disabled on nearly everything except the iPhone, their HSPA+ speeds are slow, their android’s don’t allow sideloading, their android’s are rarely ever updated, there are hardly any stock android phones. NOTHING GETS BETTER WITH AT&T!
